Odoo & WhatsApp Terms

These Terms and Conditions ("Agreement") govern your use of the Odoo & WhatsApp Business Integration Service ("Service") provided by Brand Wave ("Company", "we", "us", "our"). By subscribing to or using this Service, you ("Customer", "you", "your") agree to abide by these Terms and Conditions.

1. Service Overview

The Odoo & WhatsApp Business Integration Service combines the Odoo platform with WhatsApp Business to streamline business operations, improve communication, and enhance customer engagement. This Service includes the setup, configuration, and integration of Odoo and WhatsApp Business, along with automation features for tasks such as order updates, customer inquiries, and notifications.

2. Eligibility

To use the Service, you must:

  • Be a legally registered business or entity.
  • Have an active Odoo subscription or account.
  • Have a WhatsApp Business account.
  • Ensure that you have administrative access to both Odoo and WhatsApp Business accounts for integration.

3. Service Activation and Setup

  • Upon signing up for the Service, you will receive instructions on how to integrate your Odoo and WhatsApp Business accounts.
  • Brand Wave will assist with the integration process, including configuration of necessary settings, workflows, and automation features.
  • The integration process is subject to the availability and functionality of both platforms, Odoo and WhatsApp Business. We do not guarantee that all features will be available depending on third-party updates or restrictions.

4. Service Fees

  • The Service is provided for a monthly or annual fee, as agreed upon at the time of purchase.
  • Payment for the Service must be made in advance as per the payment terms outlined in the invoice.
  • All fees are non-refundable, except in the case of service failure or breach of contract by Brand Wave.

5. User Responsibilities

  • You are responsible for maintaining the security and confidentiality of your Odoo and WhatsApp Business accounts and credentials.
  • You must ensure that all data provided to Brand Wave for integration purposes is accurate and up-to-date.
  • You agree to use the Service in compliance with all applicable laws and regulations, including data protection and privacy laws.
  • You are responsible for any charges incurred due to the use of WhatsApp Business services, including messaging fees, data charges, or any third-party service costs associated with the use of WhatsApp Business.

6. Mata Fees

Any fees or charges incurred through third-party services such as Mata (or similar platforms used in conjunction with the Service) are the sole responsibility of the Customer. These fees are not included in the Service fee provided by Brand Wave and must be paid directly by the Customer to the respective service provider.

Examples of such fees may include, but are not limited to:

  • Transaction Fees: Any fees associated with payments or transactions made through Mata integration.
  • Messaging Fees: Costs associated with sending or receiving messages via Mata as part of the WhatsApp Business integration.
  • Service Charges: Fees for using additional services or features provided by Mata, such as premium features for advanced integrations or additional data usage.

The Customer agrees to bear all such costs and to manage any charges arising from their use of third-party services. Brand Wave is not responsible for these charges and does not receive any portion of them.

7. Data Privacy & Security

  • Brand Wave takes your privacy and data security seriously. The Company will handle all customer data in compliance with applicable data protection laws and our Privacy Policy.
  • Data shared through the Service will be used solely for integration purposes and will not be shared with third parties without your explicit consent, except as required by law.
  • Both Odoo and WhatsApp Business may process and store data on their respective platforms. Please review their privacy policies for further information on how they handle your data.

8. Service Limitations

  • The Service is subject to the capabilities and limitations of both Odoo and WhatsApp Business platforms. Brand Wave does not guarantee that the integration will be compatible with all versions of Odoo or WhatsApp Business or that it will meet all specific business needs.
  • Brand Wave is not responsible for issues arising from third-party platform limitations, such as updates, bugs, or connectivity issues.
  • Any issues or downtime caused by WhatsApp Business or Odoo services are outside of the Company’s control, and we will not be held liable for such disruptions.

9. Support & Maintenance

  • Brand Wave provides ongoing support for the integration. Support includes troubleshooting, configuration adjustments, and general inquiries regarding the Service.
  • Brand Wave reserves the right to charge additional fees for custom development or extensive support beyond standard troubleshooting or setup.
  • Support is available during normal business hours [9:00 AM to 4:00 PM, Sunday to Thursday]. Response times may vary depending on the nature of the inquiry and our workload.

10. Termination

  • Either party may terminate this Agreement by providing 30 days' written notice.
  • Upon termination, all unpaid fees must be settled in full, and the Customer will lose access to the Service and any related features.
  • If the Customer fails to comply with the terms outlined in this Agreement, Brand Wave reserves the right to terminate access to the Service immediately, without refund.

11. Indemnification

  • The Customer agrees to indemnify and hold harmless Brand Wave, its affiliates, and employees from any claims, damages, or losses arising out of the Customer's use of the Service, including violation of third-party rights, misuse of the Service, or failure to comply with applicable laws.

12. Limitation of Liability

  • Brand Wave’s liability for any claim, loss, or damage arising out of this Agreement is limited to the total amount paid by the Customer for the Service during the 12 months preceding the event that caused the liability.
  • Brand Wave is not liable for any indirect, incidental, or consequential damages, including loss of revenue, data, or goodwill, even if the Company has been advised of the possibility of such damages.

13. Amendments

  • Brand Wave reserves the right to modify these Terms and Conditions at any time. Any changes will be communicated to the Customer, and continued use of the Service will constitute acceptance of the revised terms.

14. Governing Law

  • This Agreement will be governed by and construed in accordance with the laws of Kuwait, without regard to its conflict of law principles.

15. Dispute Resolution

  • Any disputes arising from or in connection with this Agreement will be resolved through mediation or arbitration in Kuwait. Both parties agree to participate in good faith in resolving any such disputes.
